Welcome to VANYE (vanyefan.com). These Terms & Conditions govern the business relationship between VANYE (hereinafter referred to as "the Company," "we," or "us") and our professional clients, wholesalers, and distributors (hereinafter referred to as "the Client" or "the Buyer"). By placing an order or using this website, you agree to the following terms.
1. Order Acceptance and MOQ
Wholesale Only: We primarily serve B2B clients. All orders are subject to acceptance by VANYE based on production capacity and material availability.
MOQ: Minimum Order Quantity (MOQ) varies by model (e.g., DC motor fans, solid wood fans). Please refer to your specific quotation for details.
Order Confirmation: An order is considered official only after we issue a Proforma Invoice (PI) and receive the initial deposit.
2. OEM & ODM
Customization
Specifications: For OEM/ODM orders, the Buyer is responsible for providing accurate technical requirements, branding files, and packaging designs.
Sample Approval: For custom designs, VANYE will provide a pre-production sample. Mass production will only commence after the Buyer’s written approval of the sample.
Intellectual Property: VANYE respects all client trademarks. The Buyer warrants that any logos or designs provided do not infringe upon third-party intellectual property rights.
3. Pricing and Payment Terms
Quotations: All prices quoted are in USD and are valid for 15 days unless otherwise stated, due to fluctuations in raw material costs (e.g., copper, steel).
Standard Terms: Our standard payment term is 30% T/T deposit in advance, with the 70% balance paid before shipment or against the Bill of Lading (B/L), depending on the agreement.
Bank Fees: All intermediary bank charges are to be borne by the Buyer.
4. Production and Lead Time
Lead Time: Standard production time is typically 30–45 days after receipt of deposit and final confirmation of all technical details.
Delays: VANYE shall not be held liable for delays caused by Force Majeure (e.g., natural disasters, strikes, power outages, or global supply chain disruptions).
5. Shipping and Delivery
Trade Terms: Unless otherwise agreed, all shipments are conducted under FOB (Free On Board) or EXW (Ex Works) Incoterms 2020.
Inspection: We encourage third-party inspections (e.g., SGS, TUV) at our factory before balance payment. Once the goods leave our facility, the risk of loss or damage transfers to the Buyer.
6. Warranty and Claims
Warranty Period: VANYE provides a 10-year warranty on DC motors and a 2-year warranty on the complete unit (excluding consumable parts) under normal usage.
Defective Goods: Any claims for manufacturing defects must be submitted in writing within 30 days of receiving the cargo, accompanied by photos or video evidence.
Solutions: For confirmed defects, VANYE will provide replacement parts or a credit note for the next order. We do not cover labor costs for installation or removal.
7. Limitation of Liability
VANYE shall not be liable for any indirect, incidental, or consequential damages resulting from the use or inability to use our products, including but not limited to loss of profits or business interruption.
8. Governing Law
These terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from these terms shall be resolved through friendly negotiation or submitted to the relevant local arbitration commission.
